HIPAA obligations turn on whether you are a covered entity (CE), a business associate (BA), or neither. Misclassification is common among SaaS vendors, offshore billers, and IT providers who touch PHI “just for support.”

BAA — Covered entities must obtain satisfactory assurances via a Business Associate Agreement (see 45 CFR 164.308(b), 164.314(a), 164.504(e)). After HITECH / 2013 Omnibus, business associates are directly liable for Security Rule, certain Privacy Rule provisions, and Breach Notification Rule compliance.

Covered Entities

Typically: health plans, healthcare clearinghouses, and healthcare providers who transmit health information in electronic form in connection with HIPAA standard transactions (see 45 CFR 160.103).

Business Associates

A person or entity that creates, receives, maintains, or transmits PHI on behalf of a CE for a function or activity regulated by HIPAA, or provides services involving PHI disclosure (claims, billing, data analysis, IT hosting, etc.). After HITECH/Omnibus, BAs are directly liable for Security Rule and specified Privacy/Breach duties.
